Introduction
Our education practice focuses on the sale of career schools. This sector has grown rapidly in the last decade. The favorable past performance and outlook for the sector has attracted private equity investment and prompted considerable consolidation in a still highly fragmented industry. We have been fortunate to have played a role in many of these school sales. We would be happy to talk to you whether you are interested in acquiring or selling a school. We especially encourage you to read our article published by the Career Education Review and drawn from a speech given at the 2007 CCA National Conference entitled, “What is Your School Worth? Pulling Back the Curtain – Bids on Actual Transactions.” This article is must reading for anyone considering a sale.
We also recommend that if circumstances permit that school owners contact us well in advance of their intended date of sale. Initiating a dialogue with us early may allow the identification of issues that can be addressed before bringing the school to market. In many cases, properly addressing these issues results in a larger pool of prospective purchasers, a better price and more favorable sales contract provisions. In some cases, we are engaged a year or more in advance so we can do our due diligence and first draft of an offering memorandum to serve as the basis for a strategic plan designed to lead to the most favorable sale possible.
